Medtronic grants to licensee and licensee accepts a non-transferable, non-assignable, non-exclusive, royalty-free license to display and use the copyrighted images “Materials” only as indicated below. This license and/or permission explicitly does not grant the use of any Medtronic trademarks, other than the term Medtronic provided above on the Material. This Permission may be terminated by Medtronic for any reason, effective immediately upon notice to licensee.
This license grants licensee permission to use Material for personal, non-commercial uses, which shall include but is not limited to, Publications (journal article and textbook), Presentations, Displays, and Customer promotional or educational tools (e.g. website, brochure, public relations and patient educational programs).
The Material will be used only in the following manner:
The Material can only be used by licensee in a manner and with information that is consistent with the regulatory approval of any device or product depicted or shown in the Material.
The Material cannot be used in any disparaging manner or any other manner that would, in any way, harm the reputation or good will of Medtronic or its employees.
The license provided above does not grant licensee any rights associated with and the licensee shall not have any rights related to editing, modifying, changing, transforming or creating derivative works of the Materials.
